Terms of Service

These terms are an agreement between you and A913 Services Inc., a company incorporated in Alberta, Canada (“we”, “us”), covering your use of Todah (the “Service”). By creating a workspace or using the Service you accept them. If you are accepting on behalf of a business, you confirm you are authorised to bind it.

1. What Todah is

Todah is bookkeeping and invoicing software: quotes, invoices, bills, receipts, bank reconciliation, sales-tax tracking and reporting. We provide the tool. What you record in it, and what you do with the results, is yours.

Todah is not an accountant, bookkeeper, tax adviser or lawyer, and does not provide professional advice. Its calculations, reports and sales-tax worksheets are produced from the information you enter and the settings you choose. They are a starting point for your own records.

You are responsible for the accuracy of your books and for meeting your tax and filing obligations. We strongly recommend having a qualified accountant review your figures before you file anything with the Canada Revenue Agency or any other authority. Todah is built to make that review easier — not to replace it.

We may suspend a workspace that breaches this section, and will tell you why where we lawfully can.

4. Your data

You own the information you put into Todah. We claim no ownership of it. You grant us only the limited permission needed to host, process, back up and display it so we can provide the Service to you.

An owner or admin may export your workspace records to CSV at any time from Settings → Account & security (attached files are downloaded from each document). If you close your workspace, we delete it as described in our Privacy Policy.

Where your records contain personal information about your own clients, suppliers or staff, you are responsible for having the right to hold it and for meeting your obligations to those people. We act on your instructions in respect of it.

5. Automated document reading

When you scan a receipt or bill, or import a bank statement as a PDF or photo, Todah uses an automated third-party service to read it. See the Privacy Policy for where that processing happens.

Automated reading is not guaranteed accurate. A scanned receipt or bill is shown to you as a draft to check before it is saved. Lines read from a bank statement are added straight to Banking, so check them against the statement before you match them. You must check extracted figures against the original document. We are not responsible for errors in your records arising from extracted values you did not check.

Fees are non-refundable, and we do not give refunds or credits for partial billing periods, for periods where the Service was available but you did not use it, or for features you chose not to use.

This is why the free plan exists: use it for as long as you like to decide whether Todah suits you before paying anything.

Two exceptions. We will refund you where we have charged you in error, and we will always honour any refund right you have under the consumer protection law of your province, which these terms do not override. If you think something has gone wrong with a charge, write to legal@todah.ca and we will look at it properly.

7. Availability

We aim to keep Todah available and running well at all times, and we monitor it so that problems are found and fixed quickly. Occasionally we need to suspend access for maintenance, upgrades or emergencies, and we give notice where practical.

That said, no online service can promise to be available every minute, and we do not offer a contractual uptime guarantee or service level agreement. If a guaranteed availability commitment matters to your business, contact us at legal@todah.ca before you rely on the Service and we will discuss what we can offer.

To the fullest extent the law allows, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that the Service will meet your requirements, that it will be uninterrupted or error-free, or that calculations, reports or extracted document values will be accurate or suitable for filing with any authority.

Nothing in these terms excludes any warranty, condition or right that cannot be excluded under applicable consumer protection law.

10. Limitation of liability

To the fullest extent the law allows, neither party is liable to the other for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost business, lost goodwill, or the cost of substitute services, however caused and on any theory of liability.

Our total aggregate liability arising out of or relating to the Service or these terms will not exceed the greater of:

If you are on the free plan and have paid us nothing, our aggregate liability will not exceed CAD $100.

You accept that these limits are a reasonable allocation of risk and are reflected in our pricing, including our free plan. They do not apply to liability that cannot be limited by law.

11. Indemnity

You will defend and indemnify us against claims, losses and reasonable costs arising from your use of the Service in breach of these terms or applicable law, or from information you put into Todah — including any claim by a person whose personal information you stored in your workspace without the right to do so.

12. Confidentiality and security

We treat your business records as confidential and will not disclose them except: to the service providers listed in our Privacy Policy so we can run Todah; where you instruct us to; or where required by law. We describe our security measures in the Privacy Policy.

13. Changes to these terms

We may update these terms. For material changes we will give notice by email or in the app at least 30 days before they take effect. Continuing to use Todah after that means you accept the updated terms; if you don’t, you may close your workspace.

14. Governing law

These terms are governed by the laws of the Province of Alberta and the laws of Canada that apply there, without regard to conflict-of-laws rules. The courts of Alberta have exclusive jurisdiction, and both parties submit to them — except that either party may seek injunctive relief in any court of competent jurisdiction.

Nothing here limits rights you may have under mandatory consumer protection law in your own province.
